Based


on the principles of mutual respect, equality, mutual benefit and
long-term common development, Party A and Party B sign the following
cooperation agreement on Party A's store consultation, promotion and
execution services. (Party A refers to the Tonys user, Party B refers to


the Tonys platform)

1. Service Content:

The specific contents are as follows:

Remark:

1. The store promotion expenses shall be borne by Party A.

2. Party B’s operational services include store decoration, image design, product listing, keyword promotion, etc.

2. Service Term:

The


term of this contract is 2 years from the date of signing the contract
and payment. The content of services after the expiration of the
contract shall be determined by negotiation between the two parties.

III. Rights and obligations of both parties:

1.


When Party B provides services to Party A, Party A shall not interfere
with the implementation of Party B's established strategies, shall not
modify Party B's operations, and ensure the complete implementation of
Party B's operational strategies. If Party A makes changes to the
product on its own and affects Party B's optimization strategy, the
consequences shall be borne by Party A. Party A may monitor the
effectiveness of Party B's optimization strategy execution at any time
by referring to data reports, and promptly communicate its own needs to
Party B, and Party B shall make strategic adjustments.

If the service cannot be continued due to Party A’s unilateral problem
such as Party A’s failure to continue operating the store due to
penalties or other reasons, all losses caused by this will be borne by
Party A and Party B will not be responsible for this. Party B will not
refund the service fee already collected;

3. During the contract period, all sales generated by Party A's store will be counted as sales operated by Party B;

Party B shall keep confidential the work of Party A in providing
e-commerce services and shall not provide it to third-party customers
for reference without permission;

not disclose it to a third party company without Party A's permission.

6. Party B’s AI fully managed store promises the following benefits based on different store levels:

V1 level full hosting fee is 5,000 yuan for 2 years, and the profit is promised to be no less than 5,500 yuan within 2 years

V2 level full hosting fee 10,000 yuan service for 2 years, promised profit of no less than 12,000 yuan within 2 years

V3 level full hosting fee 20,000 yuan service for 2 years, promise profit of no less than 26,000 yuan within 2 years

V4 level full hosting fee is 30,000 yuan for 2 years, and the profit is promised to be no less than 42,000 yuan within 2 years

V5 level full hosting fee 50,000 yuan service for 2 years, promised profit of no less than 80,000 yuan within 2 years

Note: 20% off on full hosting fees for more than 3 stores at a time, and promises unchanged profits within 2 years

If


the promised profit is not achieved after 2 years, the full hosting fee


will be refunded. The store operation risk is borne by the user, and
the Tonys platform does not bear the loss. During the cooperation
period, Party A must fully cooperate with the overall operation of the
store.

7.


Party B shall carry out promotion based on the actual operation of the
store, and Party A shall cooperate with Party B in various store
promotions.

8.


During the cooperation period, if Party A needs to terminate the
cooperation, it must notify Party B one month in advance. If the
promised profit is met, Party B will not refund the full trusteeship
fee. If the promised profit is not met, Party B will refund the full
trusteeship fee after the expiration of the contract.

However, the following circumstances shall not be deemed as violations of this Agreement:

the service ends, Party A should change the password in time. Party B
will not be responsible for any losses caused by password issues after
the service ends.

IV. Dispute Resolution Methods

1.


All disputes arising from the execution of the contract or related to
the contract shall be settled through friendly negotiation. If the
negotiation fails, the party shall file a lawsuit with the People's
Court of the place where Party B is located.

2.


Any part not covered by this contract shall be implemented in
accordance with the relevant provisions of the Contract Law of the
People's Republic of China and other relevant laws and regulations.

V. Others

1.


Any modification and supplement to the contents of this Agreement shall


be in written form and become an integral part of the Agreement after
being signed by the authorized representatives of both parties.

2. This agreement is an online electronic agreement and has the same legal effect as a text.

3.


Any matters not covered in this Agreement shall be subject to separate
negotiation and signing by both parties in a written document which
shall have the same legal effect as this Agreement.

4. The final right of interpretation of this Agreement belongs to Party B.
