2、 Service period:

The term of performance of this contract is from the date of signing and payment12Months, the service content after the expiration of the contract shall be determined by both parties through negotiation

3、 Rights and obligations of both parties:

1, when Party B provides services for Party A, Party A shall not interfere with the implementation of Party B's established strategy or modify Party B's operation, so as to ensure the complete implementation of Party B's operation strategy. If Party A changes the products by itself and affects Party B's optimization strategy, the consequences shall be borne by Party A Party A can monitor the implementation effect of Party B's optimization strategy with reference to the data report at any time, and timely convey its own needs to Party B, and Party B will adjust the strategy

2, if Party A fails to continue the service due to Party A's unilateral problems such as the punishment of the store or other reasons, all losses caused thereby shall be borne by Party A, and Party B shall not be liable for this Party B will not refund the received service fee;

7During the period of agency operation, Party A shall fully cooperate with the overall operation of the store

8,The agency operation service is a non-profit service and is not responsible for the profit or loss of the store

However, the following circumstances shall not be deemed as a breach of this Agreement::

    1, the information is disclosed according to the prior written consent of Party A;

2, please change the password of the main account in time after the contract expires to avoid unnecessary disputes After the service, Party A shall change the password in time. Party B shall not be responsible for the loss caused by the password after the service

4、 Service fee

1, as a service of Toonies members, agent operation will not be charged separately

5、 Dispute resolution

1, all disputes arising from or in connection with the execution of the contract shall be settled through friendly negotiation. If the negotiation fails, it shall be brought to the people's court where Party B is located

2, all parts not covered in this contract shall be subject to(Contract law of the people's Republic of China)And other relevant laws and regulations

Six, other

       1, any amendment and supplement to the contents of this Agreement shall be in writing and become an integral part of the agreement after being signed by the authorized representatives of both parties

2, this agreement is made in Chinese in two originals, both of which have the same legal effect, with each party holding one copy

3For matters not covered in this agreement, both parties shall negotiate and sign a written document separately, which has the same legal effect as this agreement

4, the final interpretation right of this agreement belongs to Party B
